This is an English translation of our German terms and conditions provided for your convenience.
1.1 Scope
These General Terms and Conditions (“GTC”) apply to all contractual relationships between Insight Arcs GmbH and its customers relating to the use of our services (online services, IT consulting, newsletters, print and electronic products).
1.2 Contracting Parties
The GTC apply to contracts with natural and legal persons. Actions by the customer’s representatives or agents are attributable to the customer.
1.3 Conclusion of Contract
The contractual relationship begins upon receipt of the order (in writing, orally or electronically) by Insight Arcs GmbH and its confirmation.
1.4 Exclusivity
Only our GTC apply. Conflicting or supplementary terms of the customer are not recognized.
1.5 References
The parties may name each other as a reference.
1.6 Amendments to the GTC
Amendments will be communicated to the customer in text form. If the customer does not object within 14 days, they are deemed accepted. In the event of an objection, the contract continues until the end of the term; Insight Arcs GmbH reserves a special termination right with 14 days’ notice.
2.1 Service Offering
Insight Arcs GmbH provides, in particular, IT consulting and online services. The scope and type of services result from the respective contract.
2.2 Access
Unless otherwise agreed, access to online offerings is free of charge.
2.3 Copyright
All content is protected by copyright.
Use is permitted only for non-commercial purposes.
Copies must contain copyright notices.
Changes are prohibited without prior written consent.
2.4 General
The service descriptions are not exhaustive and may be extended or adapted.
3.1 Prices
All prices are subject to change and are net plus statutory VAT. Price changes will be communicated to the customer.
3.2 Due Date
Invoices are due for payment within 14 days of receipt without deduction.
3.3 Advance Payment
The customer shall make advance payment unless otherwise agreed.
3.4 Default of Payment
In the event of default, Insight Arcs GmbH is entitled to statutory rights including rescission (§§ 280, 323 BGB).
4.1 Rights of Use
Customers receive a simple, non-transferable right to use the provided content.
4.2 Scope
The customer may retrieve, store, and print content. Disclosure to third parties or systematic archiving requires a separate agreement.
4.3 Customer Contributions
Customers may only submit content free of third-party rights.
Insight Arcs GmbH receives a free, perpetual, worldwide, unrestricted right of use.
No entitlement to publication exists.
Insight Arcs GmbH may edit or delete content.
4.4 Forums / Comments
Posts must not contain insults, violations of law, or advertising. Insight Arcs GmbH may delete content or block users.
The customer undertakes to:
provide the technical prerequisites (hardware, internet, browser, software),
use industry-standard security measures (anti-virus, firewalls, etc.),
carefully review content before making cost-relevant decisions,
report errors to Insight Arcs GmbH without delay,
provide correct and complete data.
6.1 Liability
We are fully liable for intent and gross negligence.
For slight negligence, only in case of breach of essential contractual duties and limited to foreseeable damages.
No liability for indirect damages, data loss, or lost profits, except in cases of intent or gross negligence.
6.2 Force Majeure
No liability for events of force majeure (e.g., power outages, strikes, failures of communication networks).
Insight Arcs GmbH is not liable for the proper functioning of infrastructures or internet/customer network transmission paths outside our control.
6.3 Third-Party Content
We accept no responsibility for third-party content to which we link.
7.1 Data Processing
We process personal data exclusively in accordance with the GDPR. Details are set out in our Privacy Policy.
7.2 Cookies
Cookies are set only with consent (§ 25 TTDSG). Customers may withdraw consent at any time.
7.3 Right to Withdraw (Data Protection)
Customers may withdraw consent to the processing of personal data at any time.
8.1 Instructions on Withdrawal
Consumers within the meaning of § 13 BGB have the right to withdraw from this contract within 14 days without giving reasons.
The withdrawal period is 14 days from conclusion of the contract. To exercise the right, the consumer must notify Insight Arcs GmbH (email: info@insightarcs.com) by a clear statement.
8.2 Consequences of Withdrawal
In the event of withdrawal, services received shall be returned without delay.
8.3 Exclusion
The right of withdrawal expires prematurely if Insight Arcs GmbH has fully performed the service at the customer’s express request before the withdrawal period has expired.
In the event of breaches of contractual duties or misuse of services, Insight Arcs GmbH may:
issue warnings,
suspend or terminate services,
terminate without notice for cause.
10.1 Severability
Should individual provisions be invalid, the remainder of the contract remains effective.
10.2 Governing Law
German law applies.
10.3 Place of Jurisdiction
Place of jurisdiction is Berlin, to the extent legally permissible.
